The Private Joint-Stock Company “Ukrhydroenergo”, hereinafter referred to as “the Purchaser”, intends to use part of the proceeds of the loans from the European Bank for Reconstruction and Development (EBRD) and the European Investment Bank (EIB) towards the cost of Hydro Power Plants Rehabilitation Project. The Purchaser now invites sealed tenders from Suppliers for the following Contracts to be funded from part of the proceeds of these loans: — Lot UHE/TRF1/T/10-17 Procurement of one transformer for Kyiv Pumped Storage Power Plant and related services (also called “Lot No.1”). The scope of Contract includes the supply of 1 (one) block transformer and provision of related services. Maximum Delivery date of Goods: 1.3.2020 — Lot UHE/TRF2/T/10-17 Procurement of two transformers for Kaniv Hydro Power Plant and related services (also called “Lot No.2”). The scope of Contract includes the supply of 2 (two) block transformers and provision of related services. Maximum Delivery date of Goods: T4: 1.7.2019 T5: 1st June 2020 — Lot UHE/TRF3/T/10-17 Procurement of one transformer for Seredniodniprovska Hydro Power Plant and related services (also called “Lot No.3”). The scope of Contract includes the supply of 1 (one) auxiliary transformer and provision of related services. Maximum Delivery date of Goods: 1.8.2019 — Lot UHE/TRF4/T/10-17 Procurement of four transformers for Dnipro-1 Hydro Power Plant and related services (also called “Lot No.4”). The scope of Contract includes the supply of 4 (four) unit transformers, a special tool for oil filling and treatment for dielectric oil of transformers, suitable to be used for all transformers in the scope of TRF Package, and provision of related services. Maximum Delivery date of Goods: ГT5: 1.9.2019 ГT1: 1st March 2020 ГT2: 1st June 2020 ГT9: 1st October 2020 — Lot UHE/TRF5/T/10-17 Procurement of two transformers for Kakhovka Hydro Power Plant and related services (also called “Lot No.5”). The scope of Contract includes the supply of 2 (two) unit transformers and provision of related services. Maximum Delivery date of Goods: T2: 1.8.2019 T1: 1.9.2019 Dates of delivery hereabove are valid for a date of Contract not later than July, 2018. Tenders are invited for one or more lots. Each lot must be priced separately. Tenders for more than one lot may offer discounts and such discounts will be considered in the comparison of tenders. Tendering for contracts that are to be financed with the proceeds of the loans from EBRD and EIB is open to firms from any country. To be qualified for the award of a Contract, Tenderers must satisfy the following minimum criteria: (a) Eligibility criteria: (i) No-conflicts of interests; (ii) Not having been declared ineligible by the Bank; (iii) Not having been excluded as a result of the Borrower’s country laws or official regulations, or by an act of compliance with UN Security Council resolution. (b) Financial criteria: In case of Tenderers submitting tenders for several lots, average annual turnover criteria of each Lot shall be considered cumulatively. (i) the Tenderer or any partner in Joint Venture, Consortium or Association (JVCA) shall show its capacity to meet financial obligations, prove its financial situation and profit margin, demonstrate its current profitability and in a long-term perspective; (ii) average annual turnover, within the last three (3) years, representing not less than: Lot No.1: Average annual turnover of four millions two hundred thousand Euros (EUR 4 200 000.00); Lot No.2: Average annual turnover of three millions three hundred thousand Euros (EUR 3 300 000.00); Lot No.3: Average annual turnover of one million six hundred thousand Euros (EUR 1 600 000); Lot No.4: Average annual turnover of five millions five hundred thousand Euros (EUR 5 500 000.00); Lot No.5: Average annual turnover of five millions Euros (EUR 5 000 000.00). (iii) the Tenderer or the JVCA partner shall demonstrate, that it has liquid assets or access to them, unencumbered real assets, lines of credit, and other financial means (other than any contractual advance payments), sufficient to meet the requirements as regards cash flow, which are evaluated in the following amounts for performance of the relevant contract, taking into account the applicant’s commitments for other contracts: Lot No.1: five hundred four thousand Euros (EUR 504 000.00); Lot No.2: seven hundred seventy-four thousand Euros (EUR 774 000.00); Lot No.3: one hundred ninety thousand Euros (EUR 190 000.00); Lot No.4: one million three hundred sixteen thousand Euros (EUR 1 316 000.00); Lot No.5: five hundred ninety-five thousand Euros (EUR 595 000.00). (iv) the Tenderer shall provide information on the obligations under current contracts and pending contract awards to be carried out in parallel with Contract under this Tender. Annual commitment value under indicated contracts shall not exceed Tenderer’s Turnover for the last year more than time and half (1,5). (c) Experience criteria: (i) Technical capacity: The Tenderer shall demonstrate mature capabilities to manufacture and supply at least an annual average of: — for 1 to 3 lots: 6 (six) oil transformers over the past 5 years, — for 4 or 5 lots: 10 (ten) oil transformers over the past 5 years. (ii) Experience of supply: — For Lot No. 1: The Tenderer shall have designed, manufactured, tested, supplied, installed and commissioned a minimum of 3 (three) oil transformers of a minimum rated power 120MVA and minimum high rated voltage 121kV over the least 5 years, and which have been in successful operation for at least 1 year as on the date of Tender opening. At least 1 (one) of these above transformers shall be of minimum of 150MVA rated power and minimum rated voltage 121 kV, — For Lot No. 2: The Tenderer shall have designed, manufactured, tested, supplied, installed and commissioned a minimum of 3 (three) oil transformers of a minimum rated power 72MVA and minimum high rated voltage 121kV over the least 5 years, and which have been in successful operation for at least 1 year as on the date of Tender opening. At least 1 (one) of these above transformers shall be of minimum of 90MVA rated power and minimum rated voltage 121kV, — For Lot No. 3: The Tenderer shall have designed, manufactured, tested, supplied, installed and commissioned a minimum of 3 (three) oil transformers of a minimum rated power 8MVA and minimum high rated voltage 165kV over the least 5 years, and which have been in successful operation for at least 1 year as on the date of Tender opening. At least 1 (one) of these above transformers shall be of minimum of 10MVA rated power and minimum rated voltage 165kV, — For Lot No. 4: The Tenderer shall have designed, manufactured, tested, and supplied, a minimum of 3 (three) oil transformers of a minimum rated power 76MVA and minimum high rated voltage 165kV over the least five (5) years, and which have been in successful operation for at least 1 year as on the date of Tender opening. At least 1 (one) of these above transformers shall be of minimum of 95MVA rated power and minimum rated voltage 165kV, — For Lot No. 5: The Tenderer shall have designed, manufactured, tested, supplied, installed and commissioned a minimum of 3 (three) oil transformers of a minimum rated power 56MVA and minimum high rated voltage 165kV over the least 5 years, and which have been in successful operation for at least 1 year as on the date of Tender opening. At least 1 (one) of these above transformers shall be of minimum of 70MVA rated power and minimum rated voltage 165kV. (iii) Minimum experience in the following key activities on at least two (2) oil transformers: 1. On-site supervision of installation; 2. On-site testing. (d) Historical Contract non-performance criteria The Tenderer, or any partner in a JVCA, shall not have a consistent history of litigation and/or arbitration resulting in awards against the Tenderer, or any partner in a JVCA, within the last 3 (three) years. This determination shall be based solely on fully settled disputes or litigation. A fully settled dispute or litigation is one that has been resolved in accordance with the Dispute Resolution Mechanism under the respective Contract, and where all appeal instances available to the Tenderer have been exhausted. Total price of all pending litigations and the price of unsatisfied court decisions against the Tenderer that came into effect shall not represent in total more than 25 % (twenty-five) percent of the Tenderer’s net worth.
