The contracting authorities appointed a private sector development partner or partners to participate and invest in a public private partnership vehicle for the North hub Territory which was established between the private sector development partner (‘PSDP’) and some or all of the contracting authorities (known as ‘hubco’) (Contract Award Notice 2011/591-148167). The hubco provides (or arranges for the provision of) ‘Partnering Services’ in relation to the investment needs of the North hub Territory, primarily to provide and deliver (or manage the provision or delivery through its supply chain) of a mixture of new build and refurbished facilities (including administrative facilities and serviced facilities) (‘Relevant Facilities’) to be used by 1 or more of the Participants relative to the provision of Community Services (within the sphere of primary health, well being, library services, education (including nursery, pre-school, primary and/or secondary), children's services, residential and social care, social housing and other community based services (including those provided by the police, fire and rescue and ambulance services)) to the public within the Territory and/or facilities management services in relation to such Relevant Facilities or other facilities used by one or more of the Participants relative to the provision of such Community Services to the public within the Territory, all across the respective Participants' entire estates. Relevant Facilities may be delivered through a design, build, finance and maintain agreement or a design and build development agreement. It remains the case that the Partnering Services to be provided by hubco may also include, but are not limited to: Partnering and collaborative working; Demonstration of Continuous Improvement in value for money; New Project Development and Delivery Services; Supply Chain Management; Funding; Service Planning and Strategic Estate Planning. As had been envisaged during the original procurement process, the private sector development partner has now entered into a shareholders agreement with some or all of the contracting authorities to establish hubco. Hubco has entered into a Territory Partnering Agreement with some or all of the Participants through which the Partnering Services are delivered. Some or all of the Participants will contract with hubco special purpose companies established for the purposes of carrying out certain contracts, for the delivery of specific projects for Relevant Facilities and/or specific facilities management services following a process set out in the Territory Partnering Agreement.
