Fibre to the building (FTTB).

ESB is considering the feasibility of establishing a joint venture company to deploy fibre to the building (FTTB). To this end, ESB is seeking a partner(s) in a joint venture company (JVCo) whose core activity will be the deployment of FTTB to individual homes or premises in Ireland, in selected urban areas, using the ESB electricity overhead and underground infrastructure. The FTTB network does not currently exist. The FTTB network is currently anticipated to be from a central office to an optical network terminal at the building. It is currently anticipated that the FTTB network will be built, owned and operated by JVCo. It is envisaged that ESB will second staff to JVCo to assist in these functions. An open access model is proposed for the FTTB network under which JVCo will sell, at wholesale level, access to the FTTB network to other operators engaged in the retail supply of communications services. JVCo will be responsible for the marketing of access to the FTTB network and for managing consumer connections to the FTTB network. It is currently anticipated that JVCo will have no retail market presence. It is anticipated that the project may proceed in a number of phases. Phase 1 is expected to roll out the FTTB network on a multi-year basis, focussing on urban and semi-urban conurbations outside of Dublin city. ESB will provide JVCo with such access to its electricity infrastructure as is required for this phase of the project (and for subsequent phases, if carried out). It is anticipated that in the deployment of the FTTB network, this electricity infrastructure will be utilised where and to the extent it is practical to do so. On terms to be agreed, ESB may provide certain IT systems/licences, installation services, maintenance and repair services, and other services to JVCo in relation to the FTTB network. JVCo may provide infrastructure access and services to ESB or its subsidiaries to facilitate the development of the electricity infrastructure. ESB is conducting this selection process in connection with the opportunity to partner with ESB in the JVCo to carry out all the activities described above. No further competitions will be held by ESB for the individual contracts involved in the arrangement and it should be noted that JVCo may allocate contracts to any joint venture partner without competition. It is preferable for the joint venture partner(s) to be active in one or more of the following areas: — wholesale electronic communications, — retail electronic communications. ESB is inviting interested parties to request an information pack and shortlisting questionnaire from Mark Harmon, (telephone: +353 17027786, e-mail: mark.harmon@esb.ie). Responses to the questionnaire will be required on or before 12.10.2012. Further information is set out in the questionnaire. ESB intends to circulate a detailed information memorandum to a shortlist drawn from those parties responding to the questionnaire, who will be required to meet certain specified minimum criteria set out in greater detail in the questionnaire, including financial standing and competition law requirements. No preferred partner(s) will be selected, nor exclusivity granted, until proposals submitted under the terms of the detailed information memorandum have been evaluated. ESB reserves the right not to proceed with the partner selection process at any time. Additional information about ESB can be found on our website at www.esb.ie. Interested parties should note that this selection process is not governed by the provisions of Directive 2004/18/EC or Directive 2004/17/EC (or the Irish regulations transposing those Directives) and ESB does not intend to follow the procedures or rules set out in those Directives/Regulations in this selection process.
